Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Prospecta ("Prospecta," "we," "us," or "our") and govern your access to and use of our website, applications, and services (collectively, the "Services"). Please read them carefully. By creating an account or otherwise using the Services, you agree to these Terms and to our Privacy Policy.

1. Eligibility and accounts

You must be at least 18 years old to create a Prospecta account. By registering you represent that you are an adult and, if you provide information about a youth athlete under 18 (a "Minor Athlete"), that you are the athlete's parent or legal guardian and have authority to share that information with us. You are responsible for keeping your login credentials secure and for all activity under your account.

2. The Services

Prospecta provides AI-assisted college sports recruiting assessments, metrics, planning tools, school recommendations, outreach drafts, financial-aid intelligence, and related content. The Services are informational. We are not a recruiting agent, scout, financial advisor, college counselor, or licensed education advisor. Outcomes such as scholarships, admissions decisions, roster spots, or financial aid are controlled by third parties and are not promised or guaranteed.

3. Subscriptions, billing, and trials

  • Some features require a paid subscription ("Pro"). Plans, prices, and billing periods are shown at checkout and may be billed monthly or annually.
  • Subscriptions automatically renew at the then-current price for the same billing period until canceled. You authorize us (and our payment processor) to charge your payment method at each renewal.
  • You can cancel at any time from your account; cancellation takes effect at the end of the current billing period and you retain access until then.
  • Except where required by law, payments are non-refundable, including for partial billing periods, unused features, or downgrades.
  • We may change prices or plans on prospective renewals with reasonable notice.
  • Payment processing is provided by Stripe and subject to Stripe's terms. We do not store full card numbers on our servers.

4. Your content

You retain ownership of athlete profile data, photos, videos, transcripts, notes, and other content you submit ("Your Content"). You grant Prospecta a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and use Your Content as necessary to operate, secure, and improve the Services for you, and — if you choose to publish a portfolio — to display the portions you mark public.

You represent that you have all rights necessary to submit Your Content and that it does not violate any law or third-party right. You are responsible for the accuracy of Your Content.

5. AI-generated output

The Services use third-party AI models to generate assessments, recommendations, and drafts ("Output"). Output is provided as informational guidance only and may be inaccurate, incomplete, or out of date. You are responsible for reviewing Output before relying on it, sending outreach emails, or making recruiting, financial, or educational decisions. We disclaim all warranties with respect to Output to the maximum extent permitted by law.

6. Acceptable use

You agree not to:

  • Use the Services to violate any law or the rights of others, including the rights of student-athletes, coaches, or institutions.
  • Submit false, misleading, or fraudulent information, including about athlete identity, age, grades, or test scores.
  • Scrape, copy, resell, or redistribute Prospecta data (including coach contacts, school lists, or assessments) outside personal recruiting use.
  • Use the Services to send spam, bulk unsolicited messages, or harassing communications to coaches or staff.
  • Attempt to reverse engineer, decompile, or interfere with the Services, or bypass any security or access control.
  • Use the Services or Output to train, improve, or evaluate a competing AI model or recruiting product.

7. Third-party services

The Services may link to or rely on third-party services (for example, authentication providers, payment processors, mapping providers, and AI model providers). We are not responsible for third-party services, and your use of them is subject to their own terms and privacy policies.

8. Intellectual property

Prospecta and its licensors own all right, title, and interest in the Services, including software, content, branding, and design, except for Your Content. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial recruiting use.

9. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access (with or without notice) if you violate these Terms, if your account poses a security or legal risk, or if we discontinue the Services. Sections that by their nature should survive termination will survive.

10. Disclaimers

THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY PARTICULAR RECRUITING, ADMISSIONS, OR FINANCIAL OUTCOME WILL OCCUR.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PROSPECTA OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID PROSPECTA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

12. Indemnification

You will indemnify and hold harmless Prospecta and its affiliates from and against any claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising out of or related to: (i) Your Content; (ii) your use of the Services in violation of these Terms or applicable law; or (iii) your violation of the rights of any third party.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this Section limits either party's right to seek injunctive relief in any court of competent jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by email. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
